Customer Terms

These Customer Terms apply when you engage SOURA to research suitable suppliers, compare options or deliver a managed sourcing project. They should be read alongside our Privacy Policy and Website Terms. Where a separate written engagement letter or statement of work is signed, that document takes precedence for the relevant brief.

Our service

SOURA is a UK workplace sourcing and purchasing partner. Our standard role is to research suitable suppliers, present curated options, coordinate the selected solution, manage the underlying suppliers and issue one consolidated SOURA invoice for the approved order. The underlying suppliers fulfil the relevant products or services.

Orders, scope and approval

All orders are subject to final scope, supplier availability, payment terms and account approval. A deposit or advance payment may be required depending on project value, supplier terms, bespoke goods and account status. Submitting a brief does not create a binding order, final scope, pricing, availability, payment terms and delivery arrangements will be confirmed in writing before work begins.

Pricing

SOURA does not publish fixed prices. Once we understand your brief we will confirm the full scope, total price and payment requirements before any order is placed. All agreed sourcing, management and purchasing costs will be included clearly in the SOURA proposal.

Contracting and suppliers

Where you approve an order managed by SOURA, the customer contracts with SOURA for the approved order and SOURA contracts with the underlying suppliers. SOURA remains your main commercial contact. Underlying suppliers remain responsible for product quality, fulfilment, warranties and regulatory compliance for the goods or services they provide.

Delivery and performance

Delivery dates, availability and supplier performance remain subject to confirmation by the underlying supplier and circumstances outside SOURA's reasonable control. SOURA does not guarantee delivery dates, savings, availability or supplier performance.

Your responsibilities

  • Provide accurate information about your requirement and decision makers.
  • Review curated options in a reasonable timeframe.
  • Confirm your preferred option in writing before proceeding.

Confidentiality

Each party will keep the other's non-public information confidential and use it only for the purpose of the engagement.

Liability

To the extent permitted by law, SOURA's total liability arising out of or in connection with any brief is limited to the fees paid by you to SOURA for that brief. SOURA is not liable for indirect or consequential loss. Nothing in these terms excludes liability that cannot be limited under UK law.

Governing law

These terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
